European Commission Proposes Streamlined Rules on Mergers and Divisions

Legislation Aims to Reduce Administrative Burdens by 2012.

The European Commission has proposed new rules that would reduce the administrative burdens on European public limited-liability companies in the area of mergers and divisions.

The proposal seeks to reduce reporting requirements of companies in mergers and divisions; avoid double reporting when taken into account with other EU rules; and allow companies to publish terms of merger and division, as well as shareholder documentation, via the Internet and email.

This latest proposal complements the two packages of "fast track" measures that were put forward by the Commission in March 2007 and April 2008, and will contribute to the objective of reducing administrative burdens on EU companies by 25 percent by the end of 2012.
