China's state-owned enterprises: Board governance and the Communist Party

China’s state-owned enterprises are attracting more and more strategic foreign investors. As they gain board seats, they find themselves befuddled by an almost invisible power—the Communist Party—that controls many aspects of the business, including senior executive appointments and acquisition decisions.

To gain the full benefit of an investment, foreigners on the boards of state-owned enterprises must understand the party’s evolving role in China, recognize how decisions are made, and devise ways of influencing the outcomes.
